These Terms govern your access to and use of KNAPTON Nexus Hub. Please read them carefully.
1. About KNAPTON Nexus Hub
KNAPTON Nexus Hub ("KNAPTON", "we", "our", "the platform") is a workforce management platform designed to help organizations manage training, compliance, scheduling, certifications, workforce operations, and other operational workflows.
While the platform was originally developed with deep experience in the human services and care sectors, it is designed to support organizations across a wide range of industries.
Our goal is to help organizations simplify workforce management, improve compliance, and support their teams through secure, modern, and easy-to-use tools.
These Terms of Service ("Terms") govern your access to and use of KNAPTON Nexus Hub. By accessing the platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.
2. Plain Language Commitment
We believe legal information should be understandable. We've written these Terms in plain language wherever possible so you can clearly understand your rights, your responsibilities, and how KNAPTON works.
If something is unclear, we encourage you to reach out. Our goal is a relationship built on transparency and trust, not confusion.
4. Electronic Acceptance
Accepting these Terms electronically (including by clicking "I agree", checking an acceptance box, or continuing to use the platform after being presented with these Terms) has the same legal effect as a handwritten signature. This applies to all users and to Customers accepting on behalf of their organization.
5. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials. You must not share your login with anyone else.
Each account must belong to one specific individual. Shared or role-based email addresses (such as office@, admin@, or supervisor@) may not be used for user accounts. Training records, schedules, certificates, and audit history must remain tied to the correct individual.
You are responsible for all activity that occurs under your account. If you believe your account has been compromised, contact your organization's administrator immediately.
6. One Identity Per Person
KNAPTON is built around a single identity per person. Each individual has one KNAPTON identity: one account linked to an email address that belongs exclusively to them.
A person may belong to multiple organizations on KNAPTON. Each organizational membership is separate and private from the others. One organization cannot see another organization's information, and your membership in one workspace does not affect your membership in another. You do not need a separate account for each organization you belong to.
Creating duplicate identities, sharing accounts, or using role-based inboxes as personal accounts is a violation of these Terms and may result in account suspension.
7. Acceptable Use
You agree to use the platform only for lawful purposes and in accordance with its intended functions. You must not:
• Attempt to gain unauthorized access to other users' accounts or organizational data
• Interfere with or disrupt the platform's operation or infrastructure
• Upload or transmit malicious code, viruses, or harmful content
• Use the platform to harass, harm, or deceive other users
• Reverse-engineer, decompile, or attempt to extract the platform's source code
• Use the platform in any way that violates applicable laws or regulations
8. Confidentiality and Proper Use
KNAPTON is used by organizations that handle sensitive information about their staff, operations, customers, clients, participants, and other parties they work with. All users are expected to respect the confidentiality of that information.
You agree to:
• Only access information you are authorized to access based on your role within your organization
• Respect the privacy and confidentiality of your own organization, other organizations using the platform, and other users
• Access, use, or share information only for legitimate, authorized purposes
• Not attempt to bypass permissions, access controls, or security features
• Not attempt to access, view, or infer information belonging to another organization
• Only export or copy information through features the platform intentionally provides for that purpose. Scraping, harvesting, or extracting data by any other means is not permitted
• Not misuse confidential or personal information you encounter through the platform
These responsibilities apply regardless of how information becomes accessible to you.
9. Security Responsibilities
Security is a shared responsibility. To help keep the platform and its users safe, you agree to:
• Keep your login credentials secure and not share them with anyone
• Log out of your account when using a shared or public device
• Report suspected security incidents, unauthorized account access, or unusual activity to your organization's administrator or to KNAPTON promptly
• Not attempt to interfere with, probe, or circumvent any security features of the platform
• Use the platform responsibly and in ways consistent with these Terms
Prompt reporting of security concerns helps us protect everyone on the platform.
10. Platform Monitoring
KNAPTON may monitor platform activity, audit logs, and security events when reasonably necessary to protect the platform, investigate security incidents, maintain system integrity, or comply with legal obligations.
We do not monitor individual users' work or organizational data in the normal course of operations. Any monitoring is conducted for platform security and operational purposes only, and is subject to our Privacy Policy.
11. Customer (Business) Responsibilities
Organizations that subscribe to KNAPTON Nexus Hub ("Customers") are responsible for:
• Ensuring that all users added to their workspace have consented to use the platform
• Configuring appropriate roles and permissions for their staff
• Maintaining the accuracy of records created within the platform
• Notifying KNAPTON promptly of any security concerns related to their workspace
• Ensuring their use of the platform complies with applicable employment, privacy, and data protection laws in their jurisdiction
Customers are solely responsible for validating that platform records meet their own regulatory and compliance obligations. KNAPTON provides tools to support compliance. It does not guarantee that use of the platform satisfies any specific regulatory requirement.
12. User Responsibilities
Individual users of the platform are responsible for:
• Keeping their account credentials secure and confidential
• Completing assigned training and acknowledging requirements within the platform
• Notifying their organization's administrator of any errors in their records
• Using the platform honestly and in good faith
13. Customer Data Ownership
Customers retain full ownership of all data they and their staff enter into the platform. This includes training records, schedules, certificates, compliance records, and any other organizational information.
KNAPTON does not claim ownership of Customer data. We act as a data processor on your organization's behalf. Your data will not be used by KNAPTON for purposes other than operating, securing, maintaining, supporting, and improving the platform, or as required by law.
Individual users also retain the privacy rights available to them under applicable law with respect to their own personal information, regardless of which organization's workspace that information appears in.
14. KNAPTON Intellectual Property
The KNAPTON Nexus Hub platform (including its software, design, user interface, features, documentation, and training content) is the intellectual property of KNAPTON. Nothing in these Terms grants you a license to:
• Copy, reproduce, or republish the platform or its content
• Distribute or resell access to the platform
• Modify or create derivative works from the platform or substantial portions of its content
• Reverse-engineer or decompile any part of the platform
• Extract or scrape platform content for use outside the platform
These restrictions apply except where permitted by applicable law or with our prior written permission.
This does not restrict Customers from accessing or exporting their own business data through features the platform intentionally provides for that purpose.
The KNAPTON name and logo are trademarks of KNAPTON. You may not use them without our prior written permission.
15. Intelligent and Assistive Features
KNAPTON may introduce optional intelligent or assistive features in the future, such as scheduling suggestions, compliance summaries, or other tools designed to support your work.
Where such features are available, users remain fully responsible for reviewing any output or recommendation before relying on it for employment decisions, scheduling, training, compliance reporting, or other business purposes. KNAPTON does not guarantee the accuracy or completeness of any automated or assistive output.
16. Service Availability
We work to keep the platform available and reliable. However, we do not guarantee uninterrupted or error-free access. Availability may occasionally be affected by scheduled maintenance, updates, third-party service disruptions, or other circumstances beyond our reasonable control.
We will make reasonable efforts to notify Customers of planned downtime in advance when possible.
17. Suspension and Termination
We reserve the right to suspend or terminate access to the platform if:
• A user or Customer violates these Terms
• We detect security threats or suspicious activity associated with an account
• A Customer's subscription lapses or a payment obligation is not met
• We are required to do so by law
Where reasonable and appropriate given the circumstances, KNAPTON will make reasonable efforts to notify the affected Customer before or shortly after taking action.
Upon termination, Customers may request an export of their data within a reasonable period following account closure, subject to our data retention policies.
18. Limitation of Liability
To the maximum extent permitted by applicable law, KNAPTON and its team members are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform (including loss of data, loss of revenue, or business interruption).
Our total liability for any claim arising from your use of the platform will not exceed the amount you paid to KNAPTON in the three months preceding the claim.
19. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. For material changes, we will make reasonable efforts to notify active Customers in advance.
Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
20. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
